  • Measure advertising performance;
  • Attribute leads or conversions to campaigns;
  • Build advertising audiences;
  • Limit repeated advertisements; and
  • Display relevant advertisements on third-party platforms.

  • Other parties where you direct us or provide consent.

Service providers are permitted to process information only for authorised purposes and should maintain appropriate confidentiality and security measures.

9. Client Data Processed on Behalf of Clients

In providing agency services, we may process personal information controlled by our clients, including advertising leads, CRM data, audience information, or website submissions.

  • We process the information only to deliver the agreed services or comply with law;
  • We may use approved subcontractors and technology providers; and
  • Additional data-processing terms may be included in the applicable proposal, contract, or data-processing agreement.

Clients must not instruct us to collect, upload, target, or process personal information unlawfully.

Some service providers may store or process information outside your state or country. Data-protection standards in those locations may differ.

Where required, we will use appropriate contractual, organisational, or other safeguards and comply with applicable restrictions governing cross-border transfers.

We use reasonable administrative, technical, physical, and organisational safeguards appropriate to the nature of the information we handle. India’s SPDI Rules require an accessible privacy policy and reasonable security procedures for covered information-handling activities.

No website, transmission, or storage system is completely secure. You are responsible for using secure methods when sharing sensitive credentials and for promptly notifying us of suspected unauthorised access.

14. Children’s Privacy

Our website and agency services are intended for businesses and persons aged 18 or older. We do not knowingly solicit personal information directly from children.

If you believe a child has provided information without appropriate parental or guardian authorisation, contact us so that we can assess and delete it where required.

15. Third-Party Websites

Our website may link to social networks, advertising platforms, client websites, plugins, and other third-party services. We do not control their privacy or security practices. Review the privacy policy of each third party before providing information.

16. Data Breaches

If we become aware of a personal-data breach, we will investigate and take reasonable mitigation steps. We will notify affected persons, clients, regulators, or authorities where required by applicable law.

18. Changes to This Policy

We may update this Privacy Policy to reflect changes in our services, technologies, providers, or legal obligations. The updated version will be posted on this page with a revised “Last updated” date.

1. Acceptance of Terms

These Terms and Conditions  govern access to artdigitally.com and services supplied by artdigitally.com, trading as artdigitally.com.

By using the website, submitting an enquiry, accepting a proposal, paying an invoice, or engaging our services, you agree to these Terms and any applicable proposal, quotation, statement of work, service agreement, or order form.

If you act for an organisation, you represent that you have authority to bind that organisation.

2. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement. Our services are primarily intended for businesses, professionals, and organisations.

3. Services

RDigitaly may provide:

  • Website design and development;
  • Search engine optimisation;
  • Pay-per-click and performance advertising;
  • Social media management and advertising;
  • Branding and graphic design;
  • Content creation and content marketing;
  • Email marketing and automation;
  • Conversion tracking and analytics;
  • Marketing strategy and consultation; and
  • Related digital services specified in a proposal.

Website descriptions are general and do not constitute a binding promise to provide every listed feature.

4. Proposals and Scope

The specific scope, deliverables, fees, milestones, revisions, dependencies, and estimated timelines will be stated in the applicable proposal or statement of work.

If these Terms conflict with a signed service agreement, the signed agreement controls. A change to scope may require:

  • A written change request;
  • Revised fees;
  • A revised schedule; and
  • Payment of additional third-party expenses.

Work outside the agreed scope will be billed separately following client approval.

5. Client Responsibilities

The client agrees to:

  1. Provide timely, accurate, and complete instructions;
  2. Supply required content, access credentials, brand materials, approvals, and feedback;
  3. Ensure it has rights to all materials supplied to us;
  4. Maintain lawful privacy notices, consents, and customer communications;
  5. Review and approve advertisements, claims, designs, content, and deliverables;
  6. Comply with advertising-platform policies and applicable law;
  7. Protect account credentials and use appropriate access controls;
  8. Pay fees and third-party costs when due; and
  9. Appoint an authorised contact for project decisions.

Delays caused by missing content, access, approvals, or feedback may extend timelines and may result in additional fees.

7. Advertising Budgets and Third-Party Charges

Advertising budgets are separate from our management fees unless expressly stated otherwise.

Charges imposed by Google, Meta, hosting companies, software providers, domain registrars, influencers, publishers, or other third parties are governed by those providers’ terms. We are not responsible for changes in their fees, policies, approvals, suspensions, outages, algorithms, or service availability.

8. Cancellation and Refunds

Unless a proposal states otherwise:

  • Either party may cancel ongoing services by giving 15 days’ written notice;
  • Deposits and advance payments become non-refundable once work, planning, research, account setup, or resource allocation has begun;
  • Completed milestones, time already spent, committed advertising expenditure, and non-cancellable third-party costs remain payable;
  • If the client cancels a project, the client must pay for work completed up to the cancellation date;
  • If we cancel without client breach, we will refund prepaid professional fees for work not performed;
  • Approved advertising spend and third-party fees are not refundable by us;
  • A disagreement with creative preferences does not by itself create a right to a refund where work follows the approved brief; and
  • Mandatory consumer rights are not excluded.

Customise this section to match your actual refund practice before publishing.

9. Revisions and Approval

The number of revisions included will be specified in the proposal. Additional revisions, changes after approval, or changes outside the original brief may be billed separately.

A deliverable will be treated as accepted when the client:

  • Approves it in writing;
  • Publishes, distributes, or uses it;
  • Requests work on the next milestone; or
  • Does not report a material non-conformity within 7 days of delivery.

Minor errors that do not substantially affect the agreed purpose do not justify rejection of the entire deliverable.

10. Project Timelines

Timelines are good-faith estimates unless expressly guaranteed in writing. They may change because of:

  • Client delays;
  • Scope changes;
  • Third-party review or platform approval;
  • Technical problems;
  • Force-majeure events; or
  • Dependencies outside our reasonable control.

We are not liable for delay caused by the client or a third party.

11. Intellectual Property

Client materials

The client retains ownership of materials it supplies. The client grants us a limited licence to use, edit, reproduce, and distribute those materials as necessary to provide the services.

The client warrants that supplied materials do not infringe intellectual property, privacy, publicity, or other rights.

Our pre-existing materials

We retain ownership of our pre-existing templates, tools, processes, methodologies, know-how, code libraries, frameworks, concepts, and reusable components.

Final deliverables

Subject to full payment, the client receives the ownership or licence expressly described in the proposal. Until full payment is received, all transferable rights remain with us.

Third-party fonts, themes, plugins, photographs, videos, software, and stock assets remain subject to their original licence terms.

Portfolio use

Unless prohibited in writing before the project begins, the client permits us to identify the client and display publicly released work, logos, and non-confidential project descriptions in our portfolio, presentations, case studies, and award submissions.

12. Confidentiality

Each party will protect confidential information received from the other and use it only for performing or receiving the services.

Confidential information does not include information that:

  • Is publicly available without breach;
  • Was already lawfully known;
  • Is independently developed;
  • Is received lawfully from another source; or
  • Must be disclosed by law or court order.

These obligations survive termination.

13. Privacy and Client Data

Our handling of website visitor and client information is described in our Privacy Policy.

When we process personal data on a client’s behalf, the client is responsible for ensuring a lawful basis, providing required notices, honouring individual rights, and giving lawful instructions. The parties may enter a separate data-processing agreement where appropriate.

14. Marketing and Performance Disclaimer

Marketing outcomes depend on factors outside our control, including competition, budget, market conditions, website quality, client response times, platform algorithms, auction prices, consumer behaviour, and regulatory changes.

Unless expressly guaranteed in a signed agreement:

  • We do not guarantee search-engine rankings;
  • We do not guarantee advertising approval;
  • We do not guarantee a specific number of leads, sales, followers, impressions, or conversions;
  • Forecasts and projections are estimates, not promises;
  • Historical performance does not guarantee future results; and
  • We are not responsible for actions taken by search engines, advertising platforms, social networks, or other third parties.

We do not use knowingly deceptive, fraudulent, or unlawful marketing practices.

15. Website Use

You must not:

  • Violate applicable law or another person’s rights;
  • Attempt unauthorised access to the website, accounts, or systems;
  • Introduce malware, harmful code, or automated attacks;
  • Scrape or systematically extract website content without permission;
  • Interfere with security or website operation;
  • Impersonate another person;
  • Submit false, abusive, defamatory, or unlawful material;
  • Use our trademarks or content without authorisation; or
  • Use the website to distribute spam or fraudulent communications.

We may restrict access where these Terms are violated.

16. Website Content

Website information is provided for general information and marketing purposes. It is not legal, financial, tax, investment, or other regulated professional advice.

We attempt to keep information accurate but do not warrant that every page is complete, current, or error-free.

17. Testimonials and Case Studies

Testimonials and case studies describe individual experiences. They do not guarantee that every client will obtain identical results.

We may edit testimonials for length or clarity without changing their substantive meaning and will obtain permission where required.

18. Third-Party Services and Links

The website and our deliverables may contain links, integrations, plugins, or services supplied by third parties. We do not control and are not responsible for their:

  • Availability;
  • Security;
  • Privacy practices;
  • Content;
  • Pricing;
  • Policy changes; or
  • Decisions to restrict or terminate an account.

Use of a third-party service is subject to that provider’s terms.

19. Warranties

We will perform professional services with reasonable skill and care.

Except for express written commitments and warranties that cannot lawfully be excluded, the website and services are provided “as is” and “as available.” We disclaim implied warranties of uninterrupted availability, merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

20. Limitation of Liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, punitive, or consequential loss;
  • We are not liable for lost profits, lost revenue, loss of data, loss of goodwill, or lost business opportunity;
  • We are not liable for third-party platform actions, algorithm changes, account suspension, advertisement rejection, or service interruption; and
  • Our total aggregate liability relating to a claim will not exceed the professional fees paid to us under the affected service during the three months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded, including liability arising from fraud, wilful misconduct, or other non-excludable obligations.

21. Indemnity

The client will indemnify and hold RDigitaly, its owners, personnel, and contractors harmless from third-party claims, damages, and reasonable costs arising from:

  • Materials or instructions supplied by the client;
  • Misleading or unlawful claims approved by the client;
  • The client’s products, services, website, or business operations;
  • The client’s breach of law, contract, platform policy, or third-party rights; or
  • Unauthorised or unlawful client use of a deliverable.

We remain responsible for claims caused directly by our own wilful misconduct or infringement through original materials created solely by us, subject to the applicable agreement and liability limits.

22. Suspension and Termination

We may suspend or terminate services if:

  • An invoice remains overdue;
  • Required cooperation is repeatedly withheld;
  • An instruction appears illegal, deceptive, or harmful;
  • The client breaches these Terms or a platform policy;
  • Continuing the engagement poses a security, legal, or reputational risk; or
  • Abuse, threats, harassment, or fraudulent activity occurs.

Upon termination:

  • Outstanding amounts become immediately payable;
  • Each party must return or delete confidential information where appropriate;
  • Access may be removed after a reasonable handover period;
  • Non-cancellable third-party commitments remain payable; and
  • Provisions intended to survive termination remain effective.

23. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, epidemic, war, civil disturbance, governmental action, power failure, internet outage, cyberattack, labour dispute, or widespread third-party platform failure.

The affected party will take reasonable steps to reduce the impact.

24. Consumer Rights

Nothing in these Terms removes rights that cannot lawfully be waived under the Consumer Protection Act, 2019 or other applicable law.

Where an online transaction is covered by India’s Consumer Protection (E-Commerce) Rules, additional disclosure and grievance-redressal duties may apply.

26. Notices

Formal notices must be sent by email and, where appropriate, registered post or recognised courier to the contact details stated in the proposal or on the website.

An email notice is considered received when delivered without an automated failure message, subject to proof to the contrary.

27. General Provisions

  • Entire agreement: These Terms and the applicable proposal constitute the entire agreement concerning the services.
  • Severability: An unenforceable provision will be modified or removed without affecting the remaining provisions.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: The client may not assign the agreement without our written approval. We may assign it as part of a genuine restructuring or business transfer.
  • Independent contractors: The parties are independent contractors; no partnership, employment, or agency relationship is created.
  • Electronic acceptance: Electronic signatures, email approvals, online acceptance, and electronic records may be used.
  • Headings: Headings are for convenience and do not affect interpretation.

28. Changes to These Terms

We may update the website Terms periodically. Changes apply prospectively from the stated effective date.

Terms governing an active project will not be materially changed during that project without agreement, except where necessary to comply with law.
